The letter of intent, due diligence and closing happen between the parties and their own counsel. Value Alpha provides the letter of intent template and the record of each introduction.

Value Alpha Marketplace does not take part in the parties' discussions of price, structure or terms, does not sign the transaction documents, and never holds or transmits funds.

How it works, A to Z

Five steps. Every step is logged in an introduction record that both sides can rely on.

    Value

    Start from a Value Alpha valuation or enter the key figures. Revenue, EBITDA and the asking price are published as you enter them; the name never is.

  2. Step 02

    Publish anonymously

    The anonymity check tests the listing before it goes live: how specific its sector, region and size are, and whether the text points to the business.

  3. Step 03

    Qualified requests

    Buyers and investors need an approved application and an accepted NDA to request access. You see who is asking.

  4. Step 04

    Your approval

    Identity and the data room open only after you approve a request. Every reveal is logged.

  5. Step 05

    Your deal, off platform

    The letter of intent, due diligence and closing happen between you and the counterparty. Value Alpha provides templates and the record of the introduction.

Anonymity

How anonymity works

A teaser is designed so that the business cannot be recognized from it.

What the public sees

A reference code, the sector, the region, revenue, EBITDA and the asking price. No name, no address, no documents.

What an approved buyer sees

The identity and the data room, only after the owner approves that specific request. Access can be withdrawn.

The anonymity check

Before publishing, the teaser is compared against businesses with the same sector, region and size. If the combination narrows to too few businesses, the teaser must be widened before it goes live.

Figures in a teaser are provided by the owner and are not verified by Value Alpha.

How the success fee works

Listing a business costs nothing. Any fee is set out in the agreement each party signs, and applies only where it has been switched on.

  • Value Alpha Marketplace never holds, receives or transmits any funds. A fee, where it applies, is invoiced directly after closing.
